1. Definitions
- "Client" means any individual or entity contracting with ARKD Electro Technologies.
- "Services" refers to Engineering Solutions and Digital Marketing offerings.
- "Agreement" means these Terms, plus any SOW or Proposal.
- "Deliverables" are any tangible outputs provided under the Agreement.
2. Scope of Services

Engineering Solutions:
- Custom power electronics design (converters, inverters).
- PLC/SCADA & HMI integration, IoT sensor networks.
- Prototype, FAT, commissioning, and maintenance.

Digital Marketing:
- PPC, display, and retargeting campaigns.
- SEO audits, content strategy, backlink development.
- Email workflows, CRM integration, and analytics.
3. Fees & Payment

Engineering:
- 50% deposit on SOW signing.
- 25% on design completion.
- 25% on FAT acceptance.

Marketing:
- Monthly retainer invoiced in advance, due in 15 days.
- Ad spend billed as pass-through cost.
- Late Payments: 1.5% monthly interest on overdue balances.
4. Delivery & Acceptance
- Milestones delivered per schedule.
- Client review period: 7 business days for feedback or acceptance.
- Absent feedback, deliverables deemed accepted.
5. Refund Policy

Engineering:
- Full refund if canceled within 5 days of SOW and no work started.
- No refunds after prototype or FAT commencement.

Marketing:
- Pro‑rated refund if canceled before the 15th of the month.
- No refund on ad spend executed.
6. Intellectual Property Rights
ARKD Electro retains IP in pre‑existing tools. Upon full payment, client owns custom deliverables. ARKD Electro may display non‑confidential work in its portfolio.
7. Confidentiality
All proprietary information exchanged is confidential and shall not be disclosed without prior written consent, except as required by law.
8. Warranties & Disclaimers
- Services performed with reasonable skill; no other warranties, express or implied.
- No warranty of fitness for a particular purpose or non‑infringement.
9. Limitation of Liability
ARKD Electro’s liability is capped at fees paid for the specific services; no liability for indirect or consequential damages.
10. Governing Law & Dispute Resolution
Governed by Indian law. Disputes referred to arbitration in Pune under the Arbitration and Conciliation Act, 1996. Each party bears its own costs.
11. Modification of Terms
ARKD Electro may revise these Terms anytime. Material changes notified by email or website; continued use implies acceptance.
